Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the ProService Nexus website located at ProServiceNexus.com and all related features, content, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not access or use our Platform. These Terms apply to all visitors, users, and others who access or use the Platform.

"ProService Nexus," "we," "us," and "our" refer to the owner and operator of ProServiceNexus.com.

About the Platform

ProService Nexus is a home services request platform. Our Platform allows homeowners and property managers to submit service requests across a range of home service categories, including but not limited to plumbing, HVAC, electrical, handyman services, appliance repair, garage door services, locksmith services, and general home repair.

ProService Nexus is a request submission and coordination platform. We are not a licensed contractor, licensed trade professional, or direct service provider. We do not employ the service professionals who may be connected to your request. Submitting a request through our Platform does not create a contractual relationship between you and ProService Nexus for the performance of any home service work.

Any services performed at your property will be the result of a separate agreement between you and the service professional. ProService Nexus is not a party to that agreement.

Eligibility

You must be at least 18 years of age to use this Platform and submit a service request. By using the Platform, you represent and warrant that you meet this age requirement and have the legal authority to agree to these Terms on your own behalf or on behalf of a property owner or management entity.

Use of the Platform is intended for individuals located in the United States. We make no representation that the Platform or its services are appropriate or available outside of the U.S.

Service Requests

When you submit a service request through our Platform, you agree to provide accurate, complete, and truthful information, including your name, contact information, zip code, service category, and description of the issue. Providing false or misleading information may result in your request being unable to be processed and may be grounds for suspension of access to the Platform.

Submitting a service request does not guarantee that:

• A service professional will be available in your area
• Your request will be fulfilled within any specific timeframe
• The service you require is within the scope of what can be coordinated through the Platform
• A specific outcome or result will be achieved at your property

You understand and agree that your request will be reviewed and that next steps, if any, will be communicated to you separately based on availability and request details.

No Guarantee of Service

ProService Nexus serves as a coordination and connection platform only. We do not employ, supervise, license, or endorse any service professionals who may be connected to your request. Any work performed at your property is carried out by independent third parties, and ProService Nexus has no control over the actions, omissions, quality, or conduct of those individuals or companies.

ProService Nexus makes no representations or warranties regarding the competency, licensing, insurance status, or background of any service professional. It is your responsibility to verify the qualifications, licensure, and insurance of any professional before allowing them to perform work at your property.

User Conduct

By using our Platform, you agree not to:

• Submit false, fraudulent, or misleading service requests
• Use the Platform for any unlawful purpose or in violation of applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Platform or its underlying systems
• Transmit any viruses, malware, or other harmful code through the Platform
• Scrape, copy, or reproduce Platform content without written permission
• Use the Platform to harass, threaten, or harm any person or entity
• Interfere with the operation or integrity of the Platform in any way
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to refuse service, block access, or remove content at our sole discretion if we believe a violation of these Terms has occurred.

Intellectual Property

All content on the ProService Nexus Platform — including but not limited to text, graphics, logos, button icons, images, and software — is the property of ProService Nexus or its content suppliers and is protected by applicable U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any portion of the Platform without our prior written consent.

Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROSERVICE NEXUS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be available, uninterrupted, or error-free at all times
• Any information provided through the Platform is accurate, complete, or current
• The results of using the Platform will meet your expectations or requirements
• Any defects in the Platform will be corrected

Your use of the Platform is at your sole risk. Any material downloaded or otherwise obtained through the use of the Platform is accessed at your own discretion and risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSERVICE NEXUS AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to or use of (or inability to access or use) the Platform
• Any conduct or content of any third party on or through the Platform
• Any services performed or not performed by a service professional connected through the Platform
• Any unauthorized access to or alteration of your transmissions or data

In no event shall ProService Nexus's total liability to you for all claims arising out of or related to these Terms or the Platform exceed the greater of one hundred U.S. dollars ($100) or the amount you have paid to ProService Nexus in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless ProService Nexus and its owners, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.

Third-Party Services & Links

The Platform may contain links to third-party websites or resources, or may facilitate connections with third-party service professionals or networks. ProService Nexus does not control, endorse, or assume responsibility for any third-party content, websites, products, or services.

Any interactions, transactions, or agreements you enter into with third parties — including service professionals connected through our Platform — are solely between you and that third party. ProService Nexus is not responsible for any loss or damage incurred as a result of those interactions.

Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms or conduct that we believe is harmful to other users, third parties, or the Platform.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination — including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability — shall survive.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which ProService Nexus operates, without regard to conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property rights or confidential information.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class action or consolidated proceeding.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you should discontinue use of the Platform.
